Terms of Use
These Terms of Use (the "Terms") are a legal agreement between you and Oakland Building Systems Group LLC ("KeystoneBidPro," "we," "us"), the company that operates the KeystoneBidPro website at keystonebidpro.com and the KeystoneBidPro apps for web, iPhone and Android (together, the "Service"). By creating an account, starting a free trial or using the Service, you agree to these Terms. If you are accepting on behalf of a business, you confirm you have authority to bind that business.
1. The Service
KeystoneBidPro is estimating software for contractors. It helps you price jobs, prepare and send proposals, track when clients open them, collect signatures, create invoices, accept payments through third-party processors and, on some plans, generate materials lists, work orders and quantity takeoffs. Features available to you depend on the plan you choose.
KeystoneBidPro is a software tool. We are not a contractor, we do not perform construction work, and we are not a party to any agreement between you and your clients.
2. Your account
- You must be at least 18 years old and use the Service for business purposes.
- You agree to provide accurate information, including your business name, contact details and, where applicable, license information.
- You are responsible for keeping your login secure and for all activity under your account, including activity by team members you invite.
- Tell us right away at support@keystonebidpro.com if you believe your account has been accessed without permission.
3. Estimates, pricing data and AI
You are responsible for every estimate, proposal, invoice and work order you send. Please read this section carefully.
- Reference pricing. Catalog prices, regional adjustments and suggested markups are general reference estimates. They are not quotes from suppliers or subcontractors and may not reflect current local prices, your costs, or the conditions of a specific job.
- AI features. Some features use artificial intelligence to read plans, detect rooms, measurements and fixtures, and suggest quantities and line items. AI can make mistakes, misread scales or symbols, or miss items. Every AI result must be reviewed and confirmed by you before it is used.
- Your professional judgment. You must verify measurements, quantities, pricing, taxes, permits, code requirements and scope before sending anything to a client. The Service does not replace site visits, professional judgment, or advice from engineers, accountants or attorneys.
- Taxes. Tax rates shown in the Service are suggestions. You are responsible for charging, collecting and paying the correct taxes for your business and your clients.
4. Free trial
- Every plan includes one 7-day free trial for new customers, whether you choose monthly or yearly billing.
- A payment method is required to start the trial. You are not charged during the trial.
- Unless you cancel before the trial ends, your paid subscription starts automatically and your payment method is charged the price of the plan you selected.
- We will remind you by email before your trial ends.
- Free trials are limited to one per business. We may end or deny a trial if we see repeated sign-ups or misuse.
5. Subscriptions and billing
- Plans are billed in advance, monthly or yearly, in U.S. dollars, through our payment processor, Stripe.
- Your subscription renews automatically at the end of each billing period until you cancel.
- For yearly plans, we will send you a renewal reminder at least 14 days before the renewal date.
- Prices do not include applicable taxes, which may be added depending on your location.
- We may change plan prices. We will give you at least 30 days' notice by email, and the new price will apply at your next renewal.
- If a payment fails, we will notify you by email and may suspend access to paid features until the balance is paid. If it remains unpaid, we may cancel your subscription.
- When you upgrade, the change takes effect right away and any price difference may be prorated. When you downgrade, the change takes effect at the next billing period.
6. Cancellation and refunds
Please read before subscribing.
- You can cancel anytime from your account settings or by writing to support@keystonebidpro.com.
- If you cancel during the free trial, you will not be charged.
- When you cancel a paid subscription, it stays active until the end of the period you already paid for, and it will not renew.
- Monthly plans: payments are non-refundable, and we do not give refunds or credits for partial months.
- Yearly plans: if you request it in writing within 7 days after a yearly charge, we will refund that charge in full. After 7 days, yearly payments are non-refundable and there are no prorated refunds for unused months.
- Where the law requires a refund, we will follow the law.
7. Payments from your clients
When your clients pay deposits or invoices through the Service, payments are processed by third parties such as Stripe and PayPal under their own terms, and funds go to your own account with those processors. You are the seller to your clients. You are responsible for your prices, your work, refunds to your clients, disputes and chargebacks, and for complying with the processors' terms. KeystoneBidPro does not hold your clients' funds and does not guarantee any payment.
8. Messages you send through the Service
The Service can send emails and text messages to your clients and team on your behalf. You confirm that you have permission to contact the people you add, and that your messages comply with applicable laws, including laws on text messaging and marketing. Do not use the Service to send spam or unsolicited marketing.
9. Your data
- You own the information you put into the Service: your business details, logo, clients, estimates, plans, invoices and work orders ("Your Data").
- You give us permission to store, process and display Your Data only as needed to run, secure and support the Service.
- Pricing improvements. When you change catalog prices, we may combine those changes with changes from other contractors, without names, client information or anything that identifies you, to improve regional pricing for all users.
- You are responsible for having the right to upload Your Data, including client information and plans, and for keeping your own copies of important records.
- After your account is closed, you can ask us for an export of Your Data for 30 days. After that, we may delete it, except where we must keep records by law.
10. Acceptable use
You agree not to:
- Copy, scrape, export in bulk, resell or redistribute the pricing catalog or any other part of the Service, or use bots or automated tools to extract its data.
- Share your account with people outside your business, or resell access to the Service.
- Reverse engineer, interfere with, or try to break the security of the Service.
- Use the Service for anything illegal, fraudulent or misleading, including false estimates or invoices.
- Upload content you do not have the right to use, or content that contains malware.

We may suspend or close your account, without refund, if you:
- Break these Terms, including the acceptable use rules above.
- Use the Service for fraud, or misrepresent your business or your clients' jobs.
- Do not pay amounts you owe.
- Behave in an abusive or threatening way toward our team.
- Provide false information when signing up.
You can close your account at any time.
12. Our property
The Service, including its software, design, catalog, regional pricing data, logo and the KeystoneBidPro name, belongs to us and is protected by law. Your subscription gives you a limited, non-transferable right to use the Service for your business while your subscription is active. Feedback you send us may be used to improve the Service without any obligation to you.
13. Third-party services
The Service relies on and links to third-party services, such as Stripe, PayPal, email and text-message providers, app stores and AI providers. Their own terms and privacy policies apply, and we are not responsible for them.
14. Availability and changes
We work to keep the Service available and secure, but it may sometimes be unavailable because of maintenance, outages or events outside our control. We may add, change or remove features. If we remove a major paid feature, we will tell you in advance.
15. Disclaimer of warranties
The Service is provided "as is" and "as available." To the extent the law allows, we make no warranties of any kind, express or implied, including that the Service, its pricing data or its AI results will be accurate, complete, error-free or fit for a particular purpose.
16. Limitation of liability
To the maximum extent the law allows, KeystoneBidPro will not be liable for lost profits, lost jobs, underpriced or overpriced bids, lost data, or any indirect, incidental, special, consequential or punitive damages arising from your use of the Service. Our total liability for any claim related to the Service will not exceed the amount you paid us for the Service in the 12 months before the claim.
17. Indemnification
You agree to defend and hold KeystoneBidPro harmless from claims by your clients or other third parties arising from your estimates, proposals, invoices, work, messages or payments, or from your breach of these Terms.
18. Governing law
These Terms are governed by the laws of the State of New York. Any dispute will be resolved in the state or federal courts located in Nassau County, New York, and you agree to their jurisdiction.
19. Changes to these Terms
We may update these Terms. For important changes we will give you at least 30 days' notice by email or in the app. If you keep using the Service after the changes take effect, you accept the updated Terms.
